Can a foreigner own 100% of a Hong Kong company?
Yes. There are no nationality or residency restrictions — a single foreign individual can act as the sole director and shareholder, and there are no limits on foreign ownership.
Do I need to travel to Hong Kong to incorporate?
No. The entire incorporation process can be completed remotely. We handle name checks, document preparation and government filing on your behalf, and documents are signed electronically.
What is the minimum share capital required?
There is no minimum share capital. Most companies are incorporated with a nominal issued capital — commonly HK$10,000 divided into 10,000 shares of HK$1 — but you are free to choose a structure that suits your business.
What ongoing compliance obligations does a Hong Kong company have?
Each year a company must file an Annual Return, renew its Business Registration, prepare audited financial statements and submit a Profits Tax Return. It must also maintain a company secretary, a registered office and a Significant Controllers Register — all of which we can manage for you.
What taxes will my Hong Kong company pay?
Hong Kong applies a two-tier profits tax: 8.25% on the first HK$2 million of assessable profits and 16.5% thereafter. There is no VAT/GST, no capital gains tax and no tax on dividends. Profits genuinely sourced outside Hong Kong may qualify for offshore exemption.
