Blockchain & Web3

Blockchain & ICO Services

From structuring a token sale to licensing a virtual-asset exchange, we help blockchain and crypto projects set up the right company, meet Hong Kong's rules and launch with confidence.

We help you launch your blockchain project

Hong Kong has become one of Asia's leading hubs for digital assets, with a clear licensing framework for virtual-asset exchanges, a new regime for stablecoin issuers and a business-friendly environment for Web3 companies. For founders, that means real opportunity — but also real rules to follow.

We help blockchain projects put the right foundations in place: the corporate structure that holds your token or platform, the legal review of how your token is classified, the licences your activity may need, and the AML and compliance systems regulators and banks now expect.

Whether you are planning a token sale, building an exchange or simply need a compliant company for a Web3 venture, tell us what you are building and we will map a realistic path to launch.

How we support blockchain & crypto projects

A selection of the services Web3 founders ask us for most often. Each is a worked example of what we can take on — tell us about your project and we will tailor the scope.

Token issuance & ICO / IEO / STO

Focus: Fundraising

We structure token sales end-to-end — choosing the issuing entity, aligning the token model with the law, and coordinating the legal and compliance work behind an ICO, IEO or security-token offering.

  • Issuer structure and jurisdiction selection
  • Token sale documentation and terms
  • Coordination with legal, audit and marketing partners

Virtual Asset Service Provider (VASP) licensing

Focus: Licensing

Running a crypto exchange or trading platform in Hong Kong requires a VASP licence from the SFC. We assess eligibility, build the application and prepare the custody, AML and investor-protection framework it demands.

  • Eligibility and gap assessment against SFC standards
  • Application pack and responsible-officer support
  • Custody, AML/CFT and investor-protection policies

Crypto & Web3 company structuring

Focus: Structuring

The right holding and operating structure protects founders, supports fundraising and keeps you compliant. We set up Hong Kong and offshore companies tailored to token, exchange or SaaS Web3 models.

  • Hong Kong and offshore holding structures
  • Founder, treasury and token-entity separation
  • Banking and payment-rail introductions

Token legal classification & opinions

Focus: Legal

Whether a token is treated as a security changes everything. We arrange legal review and opinions on how your token is classified under the Securities and Futures Ordinance and what that means for your launch.

  • Security vs utility vs payment token analysis
  • Legal opinion letters for exchanges and banks
  • Regulatory risk assessment before you launch

AML / KYC & compliance

Focus: Compliance

Token sales, exchanges and stablecoin projects all need robust anti-money-laundering and know-your-customer systems. We draft the policies, procedures and controls regulators and banking partners require.

  • AML/CFT policies and KYC onboarding flows
  • Transaction monitoring and travel-rule procedures
  • Ongoing compliance and reporting support

Whitepaper & tokenomics review

Focus: Advisory

A credible whitepaper and a sound token model build trust with investors, exchanges and regulators. We review your tokenomics, disclosures and documentation for consistency and compliance.

  • Tokenomics and distribution review
  • Whitepaper and disclosure consistency check
  • Alignment with the chosen legal structure

What a compliant token launch usually involves

Most blockchain projects face the same core questions. Addressing them early keeps regulators and banking partners comfortable and your launch on track.

Token classification

How your token is categorised — security, utility or payment — drives which laws and licences apply. This is the first question to answer.

The right entity

Choosing where and how to incorporate the issuing and operating companies affects tax, fundraising, liability and which regulators you deal with.

Licensing & registration

Exchanges need a VASP licence; stablecoin issuers a licence from the HKMA; security tokens bring the SFC into play. We map what applies to you.

AML / KYC framework

Written anti-money-laundering policies, customer due diligence and transaction monitoring are expected for any virtual-asset business.

Documentation

Whitepaper, token terms, legal opinions and corporate records must be consistent and withstand scrutiny from exchanges, banks and regulators.

Banking & ongoing compliance

A crypto-friendly bank or EMI account and continuing reporting obligations keep the project operational after launch.

Not sure how to structure your project?

Tell us what you are building — we will map the structure

The right setup depends on your exact model — a token sale, an exchange, a stablecoin or a Web3 app all need different structures. Describe your project and we will confirm what applies, what you qualify for and a realistic path to launch.

What we assess

  • Your token model and how it is likely classified
  • Whether a VASP, stablecoin or SFC licence applies
  • The best holding and operating jurisdictions
  • The AML, banking and substance you will need

What we prepare

  • The corporate structure and incorporations
  • AML/CFT and KYC policies and controls
  • Coordination of legal opinions and licensing
  • Banking introductions and ongoing compliance

An initial review gives you a clear picture of structure, licensing and cost before you commit to a launch.

Frequently asked questions

Is cryptocurrency legal in Hong Kong?

Yes. Hong Kong has a clear and evolving framework for virtual assets, including a licensing regime for virtual-asset trading platforms (VASPs) administered by the SFC and a licensing regime for fiat-referenced stablecoin issuers under the HKMA. Activities are legal when properly licensed and compliant.

Do I need a licence to issue a token?

It depends on the token. If it is classified as a security, the Securities and Futures Ordinance and the SFC apply. Utility or payment tokens may not need a licence to issue, but other rules — such as AML — can still apply. We arrange a legal review to confirm your position.

What is a VASP licence?

A Virtual Asset Service Provider licence is required to operate a virtual-asset (crypto) exchange or trading platform in Hong Kong. It is granted by the SFC and covers custody, AML/CFT and investor-protection standards, with fit-and-proper responsible officers.

Where should I incorporate my crypto company?

It depends on your model and fundraising plans. Many projects use a Hong Kong company for operations and an offshore entity for token issuance. We recommend a structure after understanding your project.

Can you help with a stablecoin project?

Yes. Hong Kong has introduced a licensing regime for issuers of fiat-referenced stablecoins, administered by the HKMA. We can advise on the structure and coordinate the licensing and compliance work.

Do you write the whitepaper?

We review your whitepaper and tokenomics for consistency and compliance and coordinate with legal counsel. We can introduce specialist writers, but the technical and commercial content comes from your team.

Can you open a bank account for a crypto business?

Banking for crypto businesses is possible but selective. We introduce you to banks and EMIs open to vetted, compliant projects and help prepare the documentation they expect.

Do you provide the legal opinion yourselves?

We coordinate legal opinions with qualified lawyers and make sure the structure, documentation and compliance line up with the opinion. This keeps the whole project consistent.

This page is general information, not legal or financial advice. Virtual-asset rules in Hong Kong are evolving and depend on your specific project and token. We confirm the current position for your case before you proceed.
